Chris is a licensed attorney and certified public accountant, practicing in the areas of general business law, corporate law, tax and estate planning and estate administration.

As an attorney who works with closely held businesses and their owners, Chris advises and assists them in clear and specific ways on organization and formation, buying and selling a business, reorganizations, financing, contract-drafting and negotiations, taxation issues and succession planning.

Chris also has experience drafting various estate planning documents such as wills, powers of attorney, grantor trusts, life insurance trusts and special needs trusts. In addition, he handles the administration of estates and other estate-related matters, including judicial proceedings.

Representative Experience

Represented InBev/Anheuser-Busch wholesale beverage distributors in approximately $150 million of acquisitions including the purchase of franchise rights and business properties. Led due diligence review process of Seller’s financial documents, including tax returns and financial statements. Was a key team member in drafting and negotiating purchase contracts, loan agreements and other related transaction documents.

Advised manufacturing client in restructuring company affiliates and subsequent dissolution of a company for the utilization of a $7 million net operating loss. Drafted employment, deferred compensation, consulting and severance agreements for key employees of business clients. Advised and assisted several domestic and international clients in the formation of a variety of business entities including Sub-chapter S corporations and limited liability companies.

Represented high-net-worth clients in need of family business succession and estate planning including drafting restrictive stock agreements, wills and generation-skipping trusts to manage diverse assets. Settled complex estates involving various matters requiring judicial hearings.
